The conditions under whichthis site may be used.

These terms govern access to lequent.com and its subdomains, the newsletter, the forms and booking tools made available here and any material published under the LEQUENT name (together, the Site).

By accessing the Site you accept these terms. If you do not accept them, do not use the Site.

These terms are not an engagement letter and do not create any entitlement to services. Where a specific feature of the Site carries its own conditions, those conditions prevail for that feature to the extent of any conflict.

Nothing on the Site is an offer to the public within the meaning of Article 1336 of the Italian Civil Code, and no invitation to treat becomes binding on us until confirmed in writing.

• Site — as defined in § 02.
• Content — text, findings, data, code, design, imagery, sound, structure and compilation published on the Site.
• Submission — anything you send, upload or otherwise transmit to us through the Site, including form entries, files, feedback and correspondence.
• You — the person accessing the Site, and the entity on whose behalf that person acts.
• We, us, Lequent — Lequent S.r.l.
• Consumer — a natural person acting for purposes outside their trade, business, craft or profession.

You must be at least 18 years old to submit anything to us or to subscribe to the newsletter. Where local law sets a higher age of contractual capacity, that age applies. If you act on behalf of an entity, you confirm that you are authorised to bind it to these terms.

We do not knowingly collect information from minors. If you believe a minor has submitted information, write to privacy@lequent.com so that we can delete it.

A client relationship with Lequent is formed only by a signed engagement letter that names the file, the parties and the constituency members on the engagement. Until then, no duty of care, no duty to advise, no duty to update and no fiduciary duty arises, and no professional privilege or professional secrecy attaches to what you send us.

Nothing on this Site constitutes legal, tax, accounting, investment, financial, regulatory, technical or security advice, and nothing on it should be relied on as a substitute for advice on your own facts. No item is (a) an offer, invitation or solicitation to buy, sell or subscribe for any security, financial instrument or interest in any fund, in any jurisdiction; (b) investment research or a recommendation within the meaning of Regulation (EU) 596/2014 or Directive 2014/65/EU; (c) a valuation, a due diligence report, or a fairness opinion; (d) an audit or an assurance opinion.

Describing a capability on this Site is not a representation that we may lawfully perform it in your jurisdiction. Where needed, regulated services are delivered by the professionals identified in the relevant engagement letter, under the rules of their own professional bodies and jurisdictions, and each is responsible for their own work.

Statements about future outcomes, markets or technologies are forward-looking and inherently uncertain. Past mandates are not indicative of future results.

Where an item names a third party, the naming is factual and does not imply endorsement by or of that party.

Some parts of the Site offer calculators, questionnaires, diagnostics, document generators or similar tools. They are provided for orientation only: their output is not a compliance assessment, an opinion or a deliverable. Do not act on the output without advice.

Where a feature is powered by an artificial intelligence system, we say so at the point of use. Output generated or materially assisted by AI is labelled as such, in line with the transparency duties under Regulation (EU) 2024/1689. AI output may be inaccurate, incomplete or out of date; you remain responsible for verifying it. You must not enter personal data of third parties, confidential information or classified material into any tool on the Site.

Any camera, sensor or on-device feature described as running locally does so as described at the point of use; where we state that no data is transmitted to us, none is.

You may subscribe to the newsletter by giving your email address and confirming that you accept the Privacy Policy. Subscription is optional and is not a condition of any other use of the Site.

We send the newsletter on the basis of your consent or where permitted on the basis of an existing business relationship. Every message identifies us and carries a working unsubscribe link. You may unsubscribe at any time, at no cost and without giving reasons; we act on unsubscribes without undue delay and in any event within the period required by applicable law.

Where you book a call or write to us, you consent to our replying by the channel you used and to our administering that correspondence on the relevant file record within our systems.

Do not send us confidential, privileged or price-sensitive information through the Site.

Unless we have signed a confidentiality agreement with you (see Non-Disclosure) a Submission is not treated as confidential, does not create any obligation of secrecy, and may be reviewed by anyone within the practice. We run no conflict check before receiving a Submission, and receiving one does not prevent us from acting for any other party, including a party adverse to you.

You are responsible for any Submission and you confirm that you hold the rights necessary to send it and that it infringes no third-party right and no law.

For ideas, comments, suggestions and feedback about the Site or the practice, you grant us a worldwide, perpetual, irrevocable, royalty-free, transferable and sub-licensable licence to use, reproduce, adapt and exploit them for any purpose, without attribution and without payment, to the fullest extent permitted by law. Nothing in this paragraph transfers rights in your own business information. Moral rights are unaffected where they are inalienable.

We may decline, remove or delete any Submission at our discretion.

If you apply to a job posting, you confirm that the information you give is accurate and that you are free from any restriction preventing you from collaborating with us. Applying creates no employment, partnership, agency, joint venture or franchise relationship, and no entitlement to be admitted or to receive work.

Personal data submitted in an application is processed as described in the Privacy Policy. Do not send us special category data or the personal data of third parties.

The Site, its Content, its design system, its source and object code, its databases, the LEQUENT name and logotype, and the visual signature are owned by LEQUENT or licensed to it, and are protected by copyright, database rights (including Articles 102-bis and following of Italian Law 633/1941 and Directive 96/9/EC), trademark law and unfair competition law. All rights not expressly granted are reserved.

You may:

• view the Site;
• make temporary copies incidental to viewing it;
• print or download single copies of pages for your own internal reference;
• quote published findings, in short extracts, with attribution to LEQUENT and a link to the source page.

You may not, without our prior written consent:

• reproduce, republish, distribute or communicate to the public any substantial part of the Content;
• extract or re-utilise a substantial part of any database on the Site;
• reproduce or imitate the design system or visual signature;
• remove or alter any notice of authorship, ownership or provenance;
• use the Lequent name, logotype or the name of any member of the practice in advertising, in a domain name, as a metatag or keyword, or in any way that suggests endorsement;
• hold yourself out as LEQUENT, as a member of the organisation, or as acting on our behalf.

You may link to the Site provided the link is to a full page, is not framed or presented so as to imply a relationship that does not exist, and is not placed in a context that damages our reputation. We may withdraw this permission at any time.

We expressly reserve the right to reproduce and extract the Content for the purposes of text and data mining, including for the training, fine-tuning, grounding, evaluation or other development of artificial intelligence or machine-learning systems.

This is a reservation of rights under Article 4(3) of Directive (EU) 2019/790 and Article 70-quater of Italian Law 633/1941, and is asserted equally under any other law that permits such use absent a reservation.

Accordingly, and without our prior written licence, you may not use any automated means (crawler, scraper, harvester, agent, extension or model) to acquire the Content for text and data mining, for AI training or grounding, or to build any dataset, index, embedding or derived corpus. Search-engine indexing is permitted to the extent authorised in robots.txt. This section does not restrict acts of reproduction or extraction for the purposes of scientific research by research organisations and cultural heritage institutions with lawful access, where such acts cannot be reserved by law.

You agree not to:

• (a) attempt to access non-public areas of the Site, any administrative interface, or the engagement record of another party;
• (b) probe, scan or test the vulnerability of the Site or breach any authentication or security measure, except as permitted under § 13;
• (c) submit material that infringes any third-party right or that is unlawful, defamatory, deceptive, discriminatory, obscene or harassing;
• (d) upload or transmit any virus, worm, logic bomb or other harmful code;
• (e) use the Site to send unsolicited commercial communications, to harvest addresses, or to impersonate any person;
• (f) impose an unreasonable load on the Site, or interfere with its operation or with any other user’s access;
• (g) circumvent any access control, rate limit, paywall or geographic restriction;
• (h) use the Site or the Content to build a competing or substantially similar service;
• (i) use the Site for any purpose that is unlawful in your jurisdiction or in Italy.

We log access patterns and may suspend access without notice where we suspect a breach.

We maintain technical and organisational measures appropriate to the nature of the Site. No internet service is wholly secure and we do not warrant that the Site is free of vulnerabilities or that transmissions to it cannot be intercepted.

If you believe you have found a vulnerability, report it to hello@lequent.com and give us a reasonable period to remediate. Do not access, alter, exfiltrate or delete data belonging to us or to any third party; do not degrade the service; do not run automated scanning beyond what is necessary to demonstrate the finding. Reports made in good faith and within these limits will be handled cooperatively, and we will not pursue action against a reporter who observes them. This section does not authorise testing of third-party infrastructure and does not limit our obligations or rights under applicable cybersecurity law.

The Site may link to, embed or reference third-party material. We do not endorse it, we do not control it and we are not responsible for its content, accuracy, legality or availability.

Where a third party operates a service within our pages (like calendaring, video, mail, document exchange, analytics, payment or hosting) that provider’s own terms and privacy notice govern that interaction, in addition to these terms. The Cookie Policy identifies the third parties concerned and the basis on which they are engaged.

The Site is provided on an “as available” basis. We may add, modify or remove any part of it at any time, and we may suspend it for maintenance, security or legal reasons without notice. We do not commit to preserving any particular page, URL, feature or item of Content and we give no service level for the Site.

To the fullest extent permitted by law, the Site and the Content are provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, non-infringement or uninterrupted availability.

We do not warrant that the Content is complete, accurate, current or free from error, that the Site will be uninterrupted or error-free, that defects will be corrected, or that the Site or its servers are free of harmful components.

Nothing in this section excludes or restricts any warranty, guarantee or right that cannot be excluded or restricted under the law applicable to you, including the statutory rights of consumers in the European Economic Area and the United Kingdom.

To the maximum extent permitted by applicable law, LEQUENT is not liable for any indirect, incidental, special, consequential or punitive loss, nor for loss of profit, revenue, business, opportunity, goodwill, anticipated saving or data, arising from or in connection with access to or use of the Site, reliance on the Content, or any inability to access the Site, on any basis of liability.

Nothing in this section limits liability for fraud, for wilful misconduct, or for any other liability that cannot be limited or excluded under applicable law.

Notices to us. Notices, requests, corrections and complaints should be sent to legal@lequent.com or to the contacts disclosed in the Impressum.

Notices to you. We may notify you at the email address you have given us or by publication on the Site.

This mechanism is operated in the manner contemplated by Articles 16 and 17 of Regulation (EU) 2022/2065 (Digital Services Act) to the extent that regulation applies to any part of the Site. For notices under United States copyright law, see Annex A.5.

We may restrict, suspend or terminate your access to the Site or to any feature of it, in whole or in part, with or without notice, where you breach these terms, where we are required to do so by law or by a public authority, or where necessary to protect the Site, our clients or any third party. Where the law requires it, we give reasons and identify the redress available. Sections 08, 10, 11, 16, 17, 18, 20, 23 and 24 survive any termination.

Personal data collected through the Site is processed as controller by Lequent S.r.l. in accordance with Regulation (EU) 2016/679, Italian Legislative Decree 196/2003 as amended, and, where applicable, the UK GDPR and the privacy laws of the United States listed in Annex A.5. See the Privacy Policy for purposes, legal bases, retention, recipients, transfers and your rights.

Cookies and similar technologies are used as described in the Cookie Policy. Non-essential technologies are set only with your consent, which you may give, refuse or withdraw at any time through the preference center.

The Privacy Policy and Cookie Policy are incorporated into these terms by reference. Where they conflict with these terms on a matter of personal data, they prevail.

The Site and the Content may be subject to export control and sanctions law, including Regulation (EU) 2021/821, the restrictive measures adopted by the European Union and by Italy, and, where applicable, the United States Export Administration Regulations and the sanctions administered by OFAC.

You may not access or use the Site, or receive any Content, if you are a person or entity subject to such measures, if you are located in a territory subject to comprehensive restrictions, or where doing so would breach any applicable export control or sanctions law. You may not use the Content in connection with any activity relating to nuclear, chemical or biological weapons, missile technology or any prohibited military end use.

We may refuse or discontinue access where a screening obligation so requires.

We aim to make the Site perceivable, operable, understandable and robust, and we work toward conformance with WCAG 2.2 level AA and the harmonised requirements of EN 301 549 as a matter of practice, without warranting conformance of every page or of third-party embedded content. If you meet a barrier, write to hello@lequent.com describing the page and the difficulty; we will respond within five business days and provide the information you need in an accessible alternative format.

Where Directive (EU) 2019/882 or Italian Law 4/2004 imposes binding requirements on a service offered here, the accessibility statement published for that service applies to it.

These terms, and any dispute arising from or in connection with them or with your use of the Site, are governed by Italian law, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods.

The courts of Milan, Italy, have exclusive jurisdiction. This is without prejudice to (a) any mandatory rule of the law of your country of habitual residence that you may not be deprived of by agreement, and (b) the right of a consumer domiciled in the European Economic Area or the United Kingdom to bring proceedings in, and to be sued only in, the courts of their place of domicile, under Articles 17 to 19 of Regulation (EU) 1215/2012 and Article 66-bis of Italian Legislative Decree 206/2005.

Before commencing proceedings, we ask you to raise the matter with us at legal@lequent.com so that we may attempt to resolve it. We are not bound to use alternative dispute resolution and we are not willing to participate in proceedings before an ADR body notified under Directive 2013/11/EU. The European Online Dispute Resolution platform was discontinued on 20 July 2025 and no reference to it is made here; consumers in the European Economic Area may instead contact a notified dispute resolution body or the European Consumer Centres Network.

• Severability. If a provision is held invalid or unenforceable, it is severed or read down to the minimum extent necessary and the remainder continues in force.
• No waiver. A failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign your rights under these terms. We may assign them to a successor in the business to which the Site relates, and may engage sub-contractors and providers to operate the Site.
• No third-party rights. These terms confer no right on any person other than you and us, save that § 17 may be invoked by the persons named in it.
• Entire agreement. These terms, together with the documents they incorporate, are the whole of what is agreed between us in respect of the Site, and supersede any prior statement about it, save for fraudulent misrepresentation and save for any engagement letter.
• Language. The English text of these terms is authoritative. Translations are provided for convenience; where a mandatory rule requires a version in another language — including French, for users in Québec — that version prevails for the users concerned to the extent required.
• Electronic form. These terms are concluded and evidenced in electronic form. You may retain a copy by printing or saving this page.

We may amend these terms to reflect changes in the Site, in our practice, or in the law. Material changes are recorded in the change log and dated at the head of this file, and where the change is significant we give notice through the Site or, where you are a subscriber, by email, before it takes effect.

The version in force is the one published here. Continued use of the Site after the effective date of a change constitutes acceptance of the revised terms. If you do not accept a change, stop using the Site. Amendments do not apply retroactively to a dispute already notified.

This Annex applies in addition to the sections above, for users in the jurisdictions named. Where it conflicts with a section above, this Annex prevails for those users. Nothing in it extends the Site’s reach to a jurisdiction in which we do not offer it.

Nothing in these terms affects your mandatory statutory rights, including under Legislative Decree 206/2005 in Italy and the national law implementing Directive 93/13/EEC where you are resident. A term found unfair under that law does not bind you. Sections 16, 17, 18 and 23 apply to you only to the extent that they are compatible with those rights.

Where you conclude a distance contract with us for a paid service, we will inform you before you are bound of the main characteristics, the total price, the duration, and your right of withdrawal under Articles 52 and following of Legislative Decree 206/2005, and we will provide the standard withdrawal form.

The information required by Article 7 of Legislative Decree 70/2003 is set out in § 01 and in the Impressum. Cookies and similar technologies are used in accordance with Article 122 of Legislative Decree 196/2003 and the guidelines of the Garante per la protezione dei dati personali.

Where these terms are incorporated into a contract with a party who is not a consumer, the parties acknowledge that §§ 15, 16, 17, 19, 21 and 23 are terms of the kind referred to in the second paragraph of Article 1341 of the Civil Code and require specific written approval under Articles 1341 and 1342 of the Civil Code; that approval is collected at the point of contracting and not on this page.

The particulars required by § 5 DDG and § 5 ECG are in § 01 and in the Impressum. Where these terms operate as general terms and conditions under §§ 305 to 310 BGB, any term that is invalid under those provisions is replaced by the applicable statutory rule. Liability for injury to life, body or health, and liability under the Produkthaftungsgesetz, is unaffected. We are not obliged and not willing to participate in dispute resolution before a consumer arbitration board within the meaning of the VSBG unless we state otherwise in writing.

If you are a consumer in the United Kingdom, your rights under the Consumer Rights Act 2015 and the Consumer Protection from Unfair Trading Regulations, as amended, are unaffected; a term that is unfair under Part 2 of that Act does not bind you. You may bring proceedings in the courts of your place of domicile. Personal data of UK users is processed in accordance with the UK GDPR and the Data Protection Act 2018.

A notice must include: a signature of the owner or of a person authorised to act for the owner; identification of the work claimed to be infringed; identification of the material claimed to be infringing and enough information to locate it; your contact details; a statement of good-faith belief that the use is not authorised; and a statement, under penalty of perjury, that the information is accurate and that you are authorised to act. Other states. Rights of residents of Virginia, Colorado, Connecticut, Utah, Texas and other states with comprehensive privacy legislation are set out in the Privacy Policy.

Third-party content. To the extent that any part of the Site carries content provided by others, we act as a provider of an interactive computer service within the meaning of 47 U.S.C. § 230 and do not adopt that content as our own.

No offer of securities. No Content on the Site is an offer to sell or a solicitation of an offer to buy any security in the United States. No security described or referred to on the Site has been registered under the Securities Act of 1933 and none may be offered or sold in the United States absent registration or an available exemption.

Commercial electronic messages are sent in accordance with Canada’s Anti-Spam Legislation: we send them only with express or implied consent, we identify ourselves and give a working unsubscribe mechanism, and we act on withdrawals of consent within ten business days.

We make no representation that the Site or the Content is appropriate or available for use in any particular place. If you access the Site from outside Italy, you do so on your own initiative and you are responsible for compliance with local law. Where local law grants you rights that may not be excluded by agreement, those rights prevail over any inconsistent provision of these terms, and the remainder of these terms continues to apply.
